1. General Agreement

This Agreement between you and Pathtide Capital Group Inc(PTCG) sets forth the terms and conditions for your access to the Site and your use of the information, features, products, services and tools on the Site (the "Services").  If you participate in a Reg CF Offering, this Agreement is also between you and Pathtide's Portal. For simplicity sake we can refer Pathtide Capital Group Inc as Pathtide and/or PTCG.

This Agreement should be read carefully before using any Services or continuing to access the Site. By using the Site in any manner, including but not limited to visiting or browsing the Site, you agree and consent to, and you agree to be bound by, the Terms of Service, this Agreement, the Privacy Policy, and all other operating agreements, rules, policies and procedures that may be published by Pathtide from time to time on the Site, each of which is incorporated by reference and each of which may be updated by Pathtide from time to time without notice to you.

Your use of the Site is governed by the version of this Agreement in effect on the date of use. We may modify these terms and conditions at any time and without prior notice, and you agree to be bound by this Agreement as so modified. It is your responsibility to visit the link accessible on the Site home page periodically to review the most current terms and conditions of this Agreement for changes. You acknowledge that by accessing the Site after we have made changes to this Agreement, you are agreeing to the terms and conditions of this Agreement as modified.

Your use of the Site and/or accessing the services of the platform is premised on the acceptance of the terms and conditions applicable to such services which are in addition to the terms of use will be presented to you for acknowledgement and then accepting by agreeing to sign-up for the services.

The terms and provisions of the following agreements and other documents are incorporated into this Agreement by reference, to the extent applicable to a given Offering:

For Founders and Startups, "Additional Terms" includes the Startup Agreement (Learn More)

The Term of Use, the Privacy Policy and the Additional Terms (collectively, the "User Agreements") set forth the terms and conditions that apply to your use of the Site and the Services. To the extent there is any conflict between the Term of Use and any Additional Terms, the Additional Terms will prevail.

"You" used in this agreement refer to the user of the platform. 

2. Use of Platform

When you are accessing Pathtide's website and/or communicating with other users on the platform, you agree at all times that:

All information provided by you while filling the application form is true, complete, and current.

Upon registering on the platform, a background check would be performed on me in compliance to the KYC guidelines.

You are responsible for all activities that occur under your accounts;

Pathtide may revoke your access to Pathtide's platform with or without notice, if ;

1. You fail to comply with the provisions of the terms and conditions as prescribed in this agreement.

1.  any of the activities you executed on Pathtide's Platform will comply with the code of conducts that guides users behavior

3.Use of Services

When exploring Pathtide's Services, you acknowledge not to renege on the code of conduct that governs the rules of the community of Pathtide. 

Besides the content, all materials including trademarks, Logos, graphics, and Images are provided to you by Pathtide. You acknowledge that you have no right, title in or to the materials.

More so, with respect to the Offerings listed on Pathtide's platfrom, you shall not use related content for any purpose other than seeking capital or accesssing a potential investment opportunities. 

Discussions in the forum are visible by the general public that either participating or not participating in the offering. 

Pathtide may provide you with opportunity to create, submit, post, transmit, publish or distribute content through the services. 

Any content you distribute through Pathtide's platform will be treated as non-confidential and non-proprietary. 

Further, You cannot have any expectation that Pathtide evaluates, confirms, endorses, or otherwise stands beinhd the content provided by the User, Investor, or Issuers. You may not trat nor rely on any email or other information you receive as a result of your access to the services as a representation of any kind by Pathtide. 

Pathtide is not qualified to provide legal, accounting, tax, or investment advice, and no information provided to you by Pathtide, its staff or its affiliates, can be so construed. 

By using our PTCG's Platform and our Services, you agree and acknowledge in each instance that Pathtide's is not an agent or otherwise a responsible entity for any matter whatsoever with respect to any investment between an Investor and an Issuer. Pathtide shall not be held liable to any party for any costs or damages arising out of or related to such transaction. Unless otherwise required by law, PTCG retains sole discretion to reject or accept any application from any Issuer or Investor to participate on the Pathtide Platform, for any reason or no reason at all.

4. PTCG Platform Users Guide

All Users Guide

As a user, you acknowledge that;

You are only eligible to use and access the services of the platform only if you are 18 years or older. If you are under the age of 18, you may use the site or the platform under the supervion of legal guardian or parent. Further, Pathtide reserves the right to revoke any access that does not meet the eligibiity requirements. Pathtide reserves the right to ask for proof of age as it may deem fit to complete the account registration on the platform.

You have the right, authority, and capacity to agree to the Terms on your own behalf and on behalf on any entity for whom you are acting for and to abide by all of the terms contained herein, and that if any aspect of your participation in Pathtide violates provisions of the law to which you or an entity you are acting for are subject, you (and, if applicable, such entity) will immediately cease using the Services and close your account;

You shall not use an incorrect name or email address or profile owned or controlled by another person with the intent to impersonate that person or for any other reason;

You shall not use a name that is subject to any rights of a person other than yourself without appropriate authorization.

You will not use the Pathtide's Platform for any commercial matter not otherwise authorized by Pathtide;

You shall not open multiple account on the platform for the same service

You shall be solely responsible for maintaining the confidentiality of your password; You may reference some password protection tips (Learn More)

You will update your registration details with Pathtide when required, so that it remains true, correct and complete at all times; and

You will conduct yourself in a professional and responsible manner in all your interactions with Pathtide and with every User of the Pathtide Platform or Services.

5. Issuers Content Creation Guidelines

As an Issuer applying for Pathtide Services, you acknowledge that;

You have right and ownership over the content that you want Pathtide to publish on the plaform

You are the originator and that you have the required Intellectual Property Rights, copyrights, Patent, Trademarks, Trade Secrets on every content or materials provided by you to be published on Pathtide's Platform. 

You understand and acknowledge that any content posted by any user is the sole responsibility of the person that created the content and that Pathtide will not liable for any 

You understand and acknowledge that any misleading, inaccurate information you post about an issuer or an Offering may result in serious civil offence and/or criminal liability for yourself and/or the issuer

You will seek legal, Tax, Accouting and other professional advice when necessary to ensure your interest is adequately covered.

6. Investors Agreement

Regulation Crowdfunding of the Securities Act of 1933 ("Reg CF Offerings"), which are facilitated through the Site of Pathtide Capital Group Inc (PTCG), a registered company in the United States of America.

6.1. Pathtide Investment Guidelines

Your ability to participate in a particular Offering may depend on some factors as described further below. 

1. Annual Income
2. NetWorth
3. Participation in other offerings (Usually in the period of   

the past 12 months)

    4. Investment Limit

Kindly reference, the Pathtide Terms of Use (the "Terms of Use") and the other agreements listed in Section 1 below (collectively, this "Agreement"), and you are agreeing to the following terms, among others, with respect to your use of the Site as a registered member of the Site (a "Member").

6.2. Investors Eligibility Criteria

In view of the Reg CF guidelines, investors are limited on the amount they can invest during a 12-month period in these transactions because of the risk involved with this type of investors. However, the investment limit is based on status of the investor, whether as Accredited or Non-Accredited Investor. 

If you an Accredited Investor, there is no limit on the amount that can be invested.

If you are a non-accredited investor, then the limitation on how much you can invest depends on your net worth and annual income.

If either your annual income or your net worth is less than $124,000, then during any 12-month period, you can invest up to the greater of either $2,500 or 5% of the greater of your annual income or net worth. 

If both your annual income and your net worth are equal to or more than $124,000, then during any 12-month period, you can invest up to 10% of annual income or net worth, whichever is greater, but not to exceed $124,000.

As an Investor while accessing Investment opportunities on Pathtide's platform, you acknowledge that;

You can bear the risk of losing the amount you invested on any Start-up through Pathtide 

You have read and understand the risk associated to investing in early-stage start-up and also reviewed the terms of any investment you commit through Pathtide platform

You will do your own due diligence and also seek any Legal, Investment, Tax, Financial, Accounting and Other Professional advice that may be necessary before making any decision.

You understand that by using Pathtide services, you may be exposed to some content that may be derogatory, offensive harmful or otherwise inappropriate , and that you have no liability claim against Pathtide for such materials and/or contents. 

You understand that the service may include advertisements or other similar items, which may be related to contents made through the service and that you have no claim against Pathtide for the placement of advertisement or similar content on the services.

You understand that Pathtide do not guarantee or endorse the accuracy, completeness or reliability of any content or communications published through the platform.
